Accredited Investor Information
Suitability
The fact that a subscriber for the Units is an Accredited Investor does not necessarily mean that the Units are a suitable investment for that subscriber. Accordingly, each prospective investor is urged to consult with their own professional advisors to determine whether the purchase of the Units is appropriate in light of the prospective investor’s particular financial, tax and legal situation.
Net Worth Calculation
You must exclude from your net worth calculation any net equity in your primary residence and you must reduce your net worth by: (a) any debt secured by your primary residence that is in excess of the estimated fair market value of your primary residence; and (b) any debt secured by your primary residence that is in excess of the amount of any such debt that was outstanding 60 days prior to the Offering Date, other than as a result of the initial acquisition of your primary residence.
Joint Net Worth Calculation
For purposes of calculating joint net worth, the Investor may consider the aggregate net worth of the Investor and the Investor’s spouse or spousal equivalent. Assets need not be held jointly to be included in the calculation and the Investor’s purchase of Tokens need not be purchased jointly with the Investor’s spouse or spousal equivalent to qualify.
Determining Individual Income
In determining individual “income,” the Investor should (i) add to the Investor’s individual adjusted gross income (exclusive of any income to a spouse or spousal equivalent) any amounts attributable to tax-exempt income received, losses claimed as a limited partner in any limited partnership, deductions claimed for depletion, contributions to an IRA or Keogh retirement plan to the extent vested, alimony payments, and any amount by which income from long-term capital gains has been reduced in arriving at adjusted gross income and (ii) subtract from the Investor’s individual adjusted gross income any unrealized capital gain.
